These Terms of Service govern your use of the Keyspot Service and contain information about the Keyspot Service as outlined below. By creating an account or using Keyspot, you agree to these terms.

Keyspot Service

We agree to provide you with the Keyspot Service. The Service includes all Keyspot products, features, applications, services, technologies, and software that we provide to fulfill the mission of helping you connect with your loved ones and things. The Service includes the following components:

Offering personalized opportunities to create content, communicate, learn new things, and share experiences with others.

People are different. We want you to have the opportunity to strengthen relationships by sharing experiences and talking about what matters to you. Therefore, we create systems to understand what interests you and others, and use this information to help you create or find interesting content, track what others are sharing, and share what matters to you. Among other things, we highlight content, features, offers, and accounts that may interest you, and suggest ways to use Keyspot based on your actions and the actions of others inside and outside of Keyspot.

Creating a favorable, open, and safe environment for all.

We develop and use tools and offer resources to participants in our community to help make Keyspot a welcoming and open environment for all, including when we believe someone might need assistance. We also have teams and systems to combat abuse and violations of our Terms and policies, as well as harmful and misleading behavior. We use all available information (including your information) to ensure the safety of our platform. We may also share information about abuses or harmful content with law enforcement authorities. Developing and using technologies that help us serve our growing community.

Organizing and analyzing information in the growing Keyspot community is crucial to our Service. A significant part of it is the creation and use of advanced technologies that help us personalize, protect, and improve our Service for the global community. Technologies such as artificial intelligence and machine learning enable us to apply complex processes within our Service. Automated technologies also allow us to ensure the functioning and integrity of our Service.

Maintaining a stable global infrastructure for our Service.

To provide our global Service, we need to store and transmit data between our systems around the world, including outside the country of your residence. This infrastructure may be owned or managed by Keyspot Inc. or its affiliated companies.

Connecting you with brands, products, and services that interest you.

We use data from Keyspot, as well as from third-party partners, to show you advertisements, offers, and other sponsored content that we believe will be useful or interesting to you. We aim to make this content as relevant to you as other materials you see on Keyspot.

Research and innovation.

We use the information we have to study our Service and collaborate with others in research to improve it and promote the well-being of the community.

Who Can Use Keyspot

We want our Service to be as open and accessible as possible, while being safe, secure, and compliant with the law. Therefore, to be part of the Keyspot community, you must meet some requirements:

You must be at least 14 years old or meet the minimum age required by the law of your country to use Keyspot.

You must not be prohibited by law from receiving any components of our Service or using payment-related services if you are on any restricted lists.

Your account must not have been previously disabled by us due to a violation of the law or our rules.

You must not have been convicted of a sexual offense.

Prohibited Uses of Keyspot

Providing a safe and open Service to a wide community requires everyone to follow the rules:

You are not allowed to impersonate others or provide inaccurate information. You are not required to disclose your identity on Keyspot, but you must provide us with accurate and current information (including registration details). You are also prohibited from impersonating someone else or creating accounts for others without their direct consent.

You are not allowed to engage in illegal, misleading, or deceptive actions, or actions for unlawful or unauthorized purposes.

You are not allowed to violate (or help others violate or encourage violations by others) these Terms or our policies, including our Keyspot Community Guidelines, Keyspot Platform Policy, and Music Guidelines.

You are not allowed to disrupt or interfere with the normal operation of the Service.

You are not allowed to attempt to create accounts, collect information, or access it in unauthorized ways, including creating accounts or gathering information through automated means without our explicit permission.

You are not allowed to attempt to buy, sell, or transfer any component of your account (including your username), or request, collect, or use the credentials or badges of other users.

You are not allowed to post someone else's private or confidential information or engage in actions that violate the rights of others, including intellectual property rights.

You are not allowed to use a domain name or URL in your username without our prior written consent.

Permissions You Grant Us

As part of our agreement, you also grant us the necessary permissions to provide the Service.

We do not claim ownership of your content, but you grant us a license to use it. Your rights to your content remain unchanged. We do not claim ownership of content that you post on or through the Service. Instead, when you post or upload content that is subject to intellectual property rights (e.g., photos or videos) to our Service or in connection with it, or share such content, you hereby grant us a non-exclusive, royalty-free, worldwide license to store, use, distribute, modify, perform, copy, publicly display, translate, and create derivative works based on your content (according to your privacy settings). You can terminate this license at any time by deleting your content or account. However, the content may still be visible if you have shared it with others and they have not deleted it.

Permission to use your username, profile photo, and information about your interactions and actions in connection with accounts, advertisements, and sponsored content. You grant us permission to display your username, profile photo, and information about your actions (e.g., “Likes”) or relationships (e.g., subscriptions) next to or in connection with accounts, advertisements, offers, or other sponsored content that you interact with or subscribe to, without compensation to you.

You agree that we may download and install updates to the Service on your device.

Additional Rights We Retain

If you choose a username or similar identifier for your account, we reserve the right to change it if we deem it necessary (e.g., if it infringes on someone's intellectual property rights or if you impersonate another user).

If you use content owned by us and provided through our Service, we retain all rights to our content (but not your content).

You may use our intellectual property and trademarks only as allowed by our Brand Use Guidelines (and only in accordance with them), or with our prior written consent.

You must obtain our written permission or permission under an open license before altering, creating derivative works, decompiling, or attempting to otherwise access our source code.

Deleting Content and Disabling or Deleting Your Account

We have the right to delete any content or information you share on the Service if we believe it violates these Terms or our rules (including our Keyspot Community Guidelines), or if it is required or permitted by law.

We may refuse or immediately suspend our Service fully or partially (including temporarily or permanently disabling access to your account) to protect our community or services, or if you create legal risks or adverse consequences for us, violate these Terms, or our rules.

Our Agreement and What Happens if We Disagree

If any part of this agreement is unenforceable, the rest remains in effect.

Any amendments or waivers of this agreement must be in writing and signed by us.

This agreement does not grant any rights to third parties.

Responsibility for Problems

Our Service is provided "as is" and we do not guarantee its safety, security, or perfect operation. To the extent permitted by law, we also disclaim all express and implied warranties, including warranties of merchantability or fitness for particular purposes, and non-infringement of intellectual property rights.

We are also not responsible for the actions and content of others, including illegal or offensive content, or for third-party services and features, even if you access them through our Service.

Our liability for anything related to the Service is limited to the maximum extent allowed by law.

Dispute Resolution

If you are a consumer, any claims, lawsuits, and disputes between you and us will be governed by the laws of your country of residence, and you may resolve disputes in any competent court in your country.

In all other cases, you agree that disputes must be resolved exclusively in the federal district court of Northern California or in a state court in San Mateo County, and that you submit to the personal jurisdiction of these courts.

Updates to These Terms

We may modify our Service and rules, and may need to update these Terms to reflect our Service and rules accurately. If not required by law, we will notify you (e.g., through our Service) before making changes to these Terms and allow you to review them before they take effect. If you continue to use the Service, you will be bound by the updated Terms.
